Constitution and By-Laws of the Indiana Dairy Goat Association, Inc. ARTICLE I – NAMEThe name of this organization shall be THE INDIANA DAIRY GOAT ASSOCIATION, INC. hereafter called the Association. ARTICLE II – PURPOSEThe objects and purpose of the Association shall be:
ARTICLE III – HEADQUARTERSThe headquarters of the Association shall be where the president of the Association resides or shall designate. ARTICLE IV – OFFICERSThe officers of the Association shall be: President, Vice President, Secretary, Treasurer, and six (6) Directors, which shall constitute the Executive Board of the Association. President, Vice President, Secretary, and Treasurer shall serve for 2 years or until their successors are elected. Members of the Board of Directors shall serve for two (2) years or until their successors are elected. ARTICLE V – DUTIES OF OFFICERS
Elected or Appointed Officers You must be an IDGA member to hold any elected or appointed position in IDGA. If any elected or appointed member is absent from three (3) consecutive meetings without reasonable excuse, or in the event of death, such position as he/she may hold shall be declared vacant. An IDGA member shall be elected to fill the un-expired term, on the approval of the members present. ARTICLE VI – MEMBERSHIP1. Any reputable person, firm, or corporation, interested in dairy goats shall be eligible for membership in the Association, upon making proper application with the understanding that such member shall abide and be bound by the by-laws, rules and regulations of the Association, now in force and or which may hereafter be adopted. ARTICLE VII – MEMBERSHIP FEES AND DUESMembership dues shall be payable on or before December meeting. Amount of dues can be changed by majority vote of members present and voting. Membership dues entitle member to one (1) vote at Association meetings. When multiple names are on a membership, only one (1) person may vote at Association meetings. ARTICLE VIII – AMENDMENTSThe constitution and by-laws of the Association may be amended at any meeting of the Association by two-thirds vote of the members present voting, provided written notice of the proposed amendments and their contents shall have been mailed to all members thirty (30) days (or more) prior to the date of the meeting,or by placing said amendment(s) in written format on website. Persons desiring to submit amendments must bear the cost of notifying all members of the Association, but may be reimbursed for same by majority vote at the meeting at which proposed amendment is passed. There shall be a minimum of four meetings yearly to transact business and to promote interest in Capri culture. Places of meeting to be decided by the members or the Executive Board and announcements sent out to all members via the IDGA website prior to each meeting. President may call a special meeting on approval of Executive Board or written request of ten (10) or more members.
President shall appoint Nomination Committee at the May meeting. Nominating Committee shall present a slate of officers and committee chairman at the October meeting for members to vote on. Nominations from the floor shall be accepted for all positions. Members shall vote at the October meeting for President and Secretary in even numbered years, Vice President and Treasurer in odd numbered years, and three (3) members of the Board of Directors each year.
Fifteen (15) members of the Association shall constitute a quorum for the transaction of business.
Only those members having dues paid up are eligible to vote at the Association meetings. (This coincides with Article VII-Membership Fees & Dues).
The Indiana Dairy Goat Association, INC. website shall be the official organ of the Association.
The Executive Board shall meet at the call of the President or request of two (2) Board Members.

Filing A Grievance: Grievances shall be presented to club officials in writing, no longer than sixty(60) days after the said incident. Grievance shall contain any proof of the incident, suspected hearsay shall not be included. Written statements by any witnesses shall also be included. Grievances shall be accompanied by a $25 fee. If accusations are found to be legitimate, the fee shall be refunded.
Hearing of the Grievance: Outcome of Grievance:
It is to be recognized that all IDGA events are to be family friendly, with this said, members and/or non-members participating in any club function have a responsibility to behave in a respectable manner. Rights As Members: Each and every member has a right to be treated fairly, equally and respectfully by other members, committees of the club, officers and show officials of the clubs respected shows. Each and every member has the right to be involved in the club in an atmosphere that is free from any form of harassment and discrimination.
Responsibilities of Members: Members shall not be under the influence of illegal drugs at or during club functions. Members shall not consume excessive amounts of alcohol, nor allow minors any consumption. It is not the wish of IDGA to monitor non-club related transactions between club members. Any action that conflicts with the code of conduct is grounds for grievance. |
